STRATEGIC INTERCEPT MASTERMIND GROUP PARTICIPANT AGREEMENT
1. Purpose of Agreement
This Agreement (“Agreement”) is entered into by and between Strategic Intercept International, Inc. (“Company”) and the undersigned participant (“Participant”) for participation in the Strategic Intercept Mastermind Group (“Mastermind”). The Mastermind is designed to provide peer-to-peer mentoring, strategic insights, and business development guidance within a confidential setting.
2. Confidentiality & Non-Disclosure
Participant acknowledges that discussions within the Mastermind may involve proprietary strategies, personal business challenges, and trade secrets. Participant agrees to maintain strict confidentiality regarding all information shared by other members and not disclose, replicate, or use such information for personal or business gain outside the Mastermind without explicit written consent. Breach of confidentiality may result in immediate removal and potential legal action.
3. Non-Compete & Non-Solicitation
Participant agrees not to directly or indirectly solicit, recruit, or attempt to do business with other members of the Mastermind in a manner that competes with the Company’s services for a period of 12 months following the termination of participation. Additionally, Participant shall not establish a competing mastermind group utilizing any proprietary methods or content discussed within the Mastermind.
4. Participation & Conduct
Participant agrees to engage in all Mastermind sessions with professionalism, respect, and integrity. Disruptive behavior, harassment, or failure to adhere to group guidelines may result in removal from the Mastermind without refund. The Company reserves the right to terminate participation at its sole discretion.
5. Fees & Payment
Participation in the Mastermind requires full payment of fees as outlined in the Company’s pricing schedule. Fees are non-refundable unless otherwise specified in writing by the Company. Failure to make timely payments may result in suspension or termination of access to the Mastermind.
6. No Guarantees
Participant acknowledges that the Mastermind is designed for collaborative learning and strategic development but makes no guarantees regarding specific business results, financial outcomes, or professional advancement. The Company is not liable for the success or failure of any participant’s business decisions.
7. Intellectual Property
All materials, processes, and strategies shared by the Company or its representatives remain the sole property of Strategic Intercept International, Inc. and may not be copied, distributed, or used outside of the Mastermind without written consent.
8. Liability Waiver & Indemnification
Participant releases and holds harmless the Company, its owners, employees, and affiliates from any claims, liabilities, damages, or losses arising from participation in the Mastermind. Participant agrees to indemnify and defend the Company against any claims resulting from violations of this Agreement.
9. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of [State]. Any disputes arising from this Agreement shall first be attempted to be resolved through mediation. If mediation fails, disputes shall be resolved through binding arbitration in [State] per the rules of the American Arbitration Association.
10. Agreement & Acknowledgment
By signing below, Participant acknowledges that they have read, understand, and agree to the terms of this Agreement. Participant further affirms they are entering into this Agreement voluntarily and without coercion.
